Mr. Mike Schexnayder CPA with the accounting firm of Postlewaite & Netterville (P&N) presented the mayor and city council with an audit report on the status to the city’s operations for the accounting period of July 1, 2008 to June 30, 2009.  Mr. Schexnayder’s report also addressed deficiencies reported in the legislative auditor’s June 2009 report as well.  Overall P &N’s audit report showed that the City of St. Gabriel has made every effort to follow the recommendation of the legislative auditor to ensure that:  the mayor signs all checks and has authorized the co-signing of check in his absence by authorized representatives of the city; has established more controls in payroll by outsourcing many of the payroll processes; approves annual budget by ordinance; and has established a grant administration office to monitor all city grant activity.  Mr. Schexnayder reported that the city has policies and procedures in place and segregation of duties adequate to a city of its size.  The P&N report also indicated that the city has adequate controls.  Mayor Grace commended the staff their hard work and tremendous effort in the amount of work done in a short time to meet audit requirements.

            WHEREAS, Louisiana Department of Natural Resources (DNR) will be managing the disbursement of Energy Efficiency and Conservation Block Grant (EECBG) funding allocated by the U.S. Department of Energy (DOE) according to the 2009 American Recovery and Reinvestment Act (ARRA).

            WHEREAS, the City of St. Gabriel is eligible to apply for grants for eligible energy efficiency projects

            WHEREAS, the city desires to take proactive energy conservation measures by ensuring reduction of fossil fuel emissions in a manner that is environmentally sustainable, reduce the total energy use of the eligible entities and improve energy efficiency in the building sector.

            WHEREAS, the city would like to submit an application for grant funding for eligible project activities in accordance with grant guidelines

            NOW, THEREFORE, BE IT RESOLVED by the city council for City of St. Gabriel convened in regular session that the city has the complete support of the city council and is authorized to apply for this grant.

CONSIDERATION OF A NOTICE OF INTENT TO AMEND THE FLOOD DAMAGE PREVENTION ORDINANCE TO INCLUDE PENALTIES FOR VIOLATIONS

At the request of the Mr. Randall Johnson of the City of St. Gabriel’s Code Enforcement Office, the City of St. Gabriel will advertise for a public hearing on February 18, 2010, to hear any objections to amending Chapter 30 – Floods of the City of St. Gabriel’s Code of Ordinances to include penalties and violations.

 

CONSIDERATION OF A GRANT ADMINISTRATION POLICIES AND PROCEEDURES

Mayor Grace explained the purpose for development of a policy that the city will follow locally concerning grants it receives in addition to the federal and state requirements for grant administration.  The mayor asked that the council review and consider approval at the next city council meeting.

 

ST.  GABRIEL POLICE DEPARTMENT

Chief Ambeau requested that the city council approve a purchase of a new police unit as the unit driven by Officer Ausbon was totaled in a vehicle accident.  On a motion offered by Councilman Johnson and seconded by Councilwoman Alexander, Chief Ambeau is given approval to purchase a replacement vehicle for the unit lost as a result of a wreck.

Chief Ambeau reported that he has three officers in the academy and has hired part-time officers to augment his staff while the officers are in training.

 

MAYOR’S REPORT:

 PRESENTATION OF NEW BUSINESS VENTURES IN ST. GABRIEL

A.     FOREIGN ECONOMIC TRADE ZONE

 

Mayor Grace reported that he had meet with the Mayor Kip Holden of Baton Rouge and a group of Chinese businessmen to discuss location of a foreign economic trade zone in St. Gabriel.  Mayor Grace reported that the city has some choice real estate that would be conducive to the type of locations the Chinese businessmen are considering to establish new business ventures on.

 

B.     DEVELOPMENT OF LAND ON LA. HWY. 30

 

Mayor Grace introduced Mr. Tevester Scott who introduced the members of Reliable-Gaubert Joint Venture Group.  Mr. Scott explained that Reliable-Gaubert is interested in developing a grocery store, restaurant, casino, and gas station on LA. Hwy. 30.  Mayor Grace also reported that another company had been in contact with City Attorney Phil Canova on developing a similar operation.  Mayor Grace charged City Attorney Phil Canova with beginning the Planning and Zoning process to have interested parties present their business development ideas to the Planning and Zoning Committee.

 

COUNCIL MEMBER REPORTS:

Councilwoman Alexander – Wished a happy New Year to all and requested that the city participate in the local Mardi Gras Parade on Sunday, February 14, 2010.

Councilwoman Danielfield – No report.

Councilman Frazier – No report.

Councilman Hasten – Inquired about the road overlay improvement project.

Councilman Johnson – Reported that he information on a grant to hire new fire fighters and commended Public Works Director Atkins Williams on the renovation of the council meeting room at city hall.

FINANCIAL REPORT – TAMMY B. PHILLIPS, FINANCE DIRECTOR

The financial report covered in the presentation of the 2008-2009 Audit Finding Report by Postlewaite & Netterville.

 

PRESENTATION OF 2008-2009 AUDIT FINDINGS – MKE SCHEXNAYDER, CPA/POSTLEWAITE & NETTERVILLE (P&N)

Mr. Mike Schexnayder CPA with the accounting firm of Postlewaite & Netterville (P&N) presented the mayor and city council with an audit report on the status to the city’s operations for the accounting period of July 1, 2008 to June 30, 2009.  Mr. Schexnayder’s report also addressed deficiencies reported in the legislative auditor’s June 2009 report as well.  Overall P &N’s audit report showed that the City of St. Gabriel has made every effort to follow the recommendation of the legislative auditor to ensure that:  the mayor signs all checks and has authorized the co-signing of check in his absence by authorized representatives of the city; has established more controls in payroll by outsourcing many of the payroll processes; approves annual budget by ordinance; and has established a grant administration office to monitor all city grant activity.  Mr. Schexnayder reported that the city has policies and procedures in place and segregation of duties adequate to a city of its size.  The P&N report also indicated that the city has adequate controls.  Mayor Grace commended the staff their hard work and tremendous effort in the amount of work done in a short time to meet audit requirements.

 

CONSIDERATION OF A RESOLUTION AUTHORIZING THE MAYOR TO ACT ON BEHALF OF THE CITY OF ST. GABRIEL IN ALL MATTERS PERTAINING TO FP&C PROJECT NO. 50-MW6-09-01-TURN LANES ON HIGHWAY 30 (IBERVILLE) – MAYOR GRACE

On a motion by Councilman Melvin Hasten, Sr. and seconded by Councilwoman Deborah R. Alexander the following resolution was offered:

            WHEREAS, the City of St. Gabriel City Council did meet in legal session on Thursday, January 21, 2010;

            WHEREAS, the roll call of the council members did confirm that with three (3) of the five (5) council members present, thus constituting a quorum;

            WHEREAS, George L. Grace is the duly elected Mayor of the City of St. Gabriel;

NOW, THEREFORE BE IT RESOLVED by the St. Gabriel City Council that the vote of

            WHEREAS, on January 12, 2010, the island of Haiti did sustain massive destruction of life and property as a result of an earthquake;

            WHEREAS, the Mayor, City Council and citizens of St. Gabriel can empathize with the people of Haiti to a degree, with its experiences with destruction caused in our area by hurricanes;

            WHEREAS, it is the desire of no person to see another suffer in such a manner as the Haitian people are suffering with the aftermath of the destruction caused by the earthquake;

NOW, THEREFORE BE IT RESOLVED by the Mayor and City Council of St. Gabriel that all able citizens of St. Gabriel, by whatever means available to them, give monetary and non-monetary support to the people of Haiti;

            BE IT FURHTER RESOLVED THAT, the Mayor and City Council offer this resolution of support to bestow heartfelt prayers that the people of Haiti will recover from this natural disaster.

CONSIDERATION OF A RESOLUTION OF SUPPORT FOR THE ENERGY EFFICIENCY BLOCK GRANT (EECBG)

RESOLUTION OF SUPPORT OF

THE ENERGY EFFICIENCY BLOCK GRANT (EECBG) APPLICATION

 

            WHEREAS, Louisiana Department of Natural Resources (DNR) will be managing the disbursement of Energy Efficiency and Conservation Block Grant (EECBG) funding allocated by the U.S. Department of Energy (DOE) according to the 2009 American Recovery and Reinvestment Act (ARRA).

            WHEREAS, the City of St. Gabriel is eligible to apply for grants for eligible energy efficiency projects

            WHEREAS, the city desires to take proactive energy conservation measures by ensuring reduction of fossil fuel emissions in a manner that is environmentally sustainable, reduce the total energy use of the eligible entities and improve energy efficiency in the building sector.

            WHEREAS, the city would like to submit an application for grant funding for eligible project activities in accordance with grant guidelines

            NOW, THEREFORE, BE IT RESOLVED by the city council for City of St. Gabriel convened in regular session that the city has the complete support of the city council and is authorized to apply for this grant.

A motion to adopt the above resolution was made by Councilman Hasten and seconded by Councilwoman Alexander and resulted in the following vote:

CONSIDERATION OF A NOTICE OF INTENT TO AMEND THE FLOOD DAMAGE PREVENTION ORDINANCE TO INCLUDE PENALTIES FOR VIOLATIONS

At the request of the Mr. Randall Johnson of the City of St. Gabriel’s Code Enforcement Office, the City of St. Gabriel will advertise for a public hearing on February 18, 2010, to hear any objections to amending Chapter 30 – Floods of the City of St. Gabriel’s Code of Ordinances to include penalties and violations.

 

CONSIDERATION OF A GRANT ADMINISTRATION POLICIES AND PROCEEDURES

Mayor Grace explained the purpose for development of a policy that the city will follow locally concerning grants it receives in addition to the federal and state requirements for grant administration.  The mayor asked that the council review and consider approval at the next city council meeting.

 

ST.  GABRIEL POLICE DEPARTMENT

Chief Ambeau requested that the city council approve a purchase of a new police unit as the unit driven by Officer Ausbon was totaled in a vehicle accident.  On a motion offered by Councilman Johnson and seconded by Councilwoman Alexander, Chief Ambeau is given approval to purchase a replacement vehicle for the unit lost as a result of a wreck.

Chief Ambeau reported that he has three officers in the academy and has hired part-time officers to augment his staff while the officers are in training.

 

MAYOR’S REPORT:

 PRESENTATION OF NEW BUSINESS VENTURES IN ST. GABRIEL

A.     FOREIGN ECONOMIC TRADE ZONE

 

Mayor Grace reported that he had meet with the Mayor Kip Holden of Baton Rouge and a group of Chinese businessmen to discuss location of a foreign economic trade zone in St. Gabriel.  Mayor Grace reported that the city has some choice real estate that would be conducive to the type of locations the Chinese businessmen are considering to establish new business ventures on.

 

B.     DEVELOPMENT OF LAND ON LA. HWY. 30

 

Mayor Grace introduced Mr. Tevester Scott who introduced the members of Reliable-Gaubert Joint Venture Group.  Mr. Scott explained that Reliable-Gaubert is interested in developing a grocery store, restaurant, casino, and gas station on LA. Hwy. 30.  Mayor Grace also reported that another company had been in contact with City Attorney Phil Canova on developing a similar operation.  Mayor Grace charged City Attorney Phil Canova with beginning the Planning and Zoning process to have interested parties present their business development ideas to the Planning and Zoning Committee.

 

COUNCIL MEMBER REPORTS:

Councilwoman Alexander – Wished a happy New Year to all and requested that the city participate in the local Mardi Gras Parade on Sunday, February 14, 2010.

Councilwoman Danielfield – No report.

Councilman Frazier – No report.

Councilman Hasten – Inquired about the road overlay improvement project.

Councilman Johnson – Reported that he information on a grant to hire new fire fighters and commended Public Works Director Atkins Williams on the renovation of the council meeting room at city hall.

NOTICE IS HEREBY GIVEN that the Mayor and Selectmen (the AGoverning Authority@) of the City of Plaquemine, State of Louisiana (the AIssuer@), acting as the governing authority of the Issuer, will receive sealed bids or electronic bids at the City Hall, Plaquemine, Louisiana, until six thirty (6:30) o'clock p.m., Louisiana Time, Central Time, on Tuesday, March 23, _2010, (or such other date as may be determined by the Mayor) for the purchase of One Million Five Hundred Thousand Dollars ($1,500,000) of Sales Tax Bonds, Series 2010 (the "Bonds") of the Issuer, autho_rized for the purpose of constructing and acquiring capital improvements for the sewer collection and treatment system for the Issuer, pursuant to Sub-Part F, Part III, Chapter 4 of Title 39 of the Louisi_ana Revised Stat_utes of 1950, as amended, and other constitutional and statutory authority.  The Bonds may be issued in one or more series as taxable or tax-exempt bonds and shall be payable solely from and secured by, equally in all respects with the Issuer=s outstanding Sales Tax Bonds, Series 2008 (the AOutstanding Parity Bonds@), by an irrevocable pledge and dedication of (i) the Issuer=s portion (currently 23.1441%) of the net avails or proceeds of the special two-thirds of one percent (2/3%) sales and use tax being levied and collected by the Parish of Iberville, State of Louisiana (the AParish@), pursuant to an election held in the Parish on July 13, 1991 (the A1991 Election@ and the A1991 Tax@), (ii) the Issuer=s portion (currently 23.6507%) of the net avails or proceeds of the special one percent (1%) sales and use tax being levied and collected by the Parish pursuant to an election held in the Parish on July 16, 2005 (the A2005 Election@ and the A2005 Tax@) and (iii) the Issuer=s portion (currently 23.6507%) of the net avails or proceeds of the special one percent (1%) sales and use tax being levied and collected by the Parish pursuant to an election held in the Parish on September 30, 2006 (the A2006 Election@ and the A2006 Tax@) (the 1991 Tax, 2005 Tax and 2006 Tax herein collectively referred to as the ATax,@ the Issuer=s portion of each of the 1991 Tax, 2005 Tax and 2006 Tax herein collectively referred to as the ANet Revenues of the Tax,@ and the 1991 Election, 2005 Election and 2006 Election herein collectively referred to as the AElections@), said Tax now being levied and collected by the Parish pursuant to Article VI, Section 29 of the Constitution of the State of Louisiana of 1974 and other constitutional and statutory authority, and in compliance with the Elections, subject only to the prior payment of the reasonable and necessary costs and expenses of collecting and administering the Tax.

 

The Bonds will be issued in the form of a single fully registered bond per series, will be dated the date of delivery thereof, will bear interest from date thereof, or the most recent interest payment date to which interest has been paid or duly provided for, at a rate or rates of interest not exceeding four per centum (4%) per annum (which includes any administrative fee which may be charged to the Issuer) and shall be in the denomination of $1,000 per principal installment within each such bond.  Interest on the Bonds shall be payable on June 1 and December 1 of each year, commencing June 1, 2010, and the principal shall be payable in twenty (20) annual installments with the first payment to fall due on or before December 1, 2013.

 

 

 

The Governing Authority anticipates that it may designate some or all of the Bonds as ABuild America Bonds (Direct Payment)@ pursuant to Section 54AA of the Internal Revenue Code of 1986, as amended (the ACode@).  In such event, interest on the Bonds shall not be excluded from gross income for federal income tax purposes and the Issuer will irrevocably elect to designate all of the eligible Bonds as ABuild America Bonds@ under Section 54AA of the Code and specifically as Aqualified bonds@ within the meaning of Section 54AA(g) of the Code.

 

The installments of principal of the Bonds are subject to prepayment at the option of the Issuer at any time, in whole or in part, at a prepayment price of par plus accrued interest and accrued administrative fee, if any.

 

The Mayor of the Issuer may request from any bidder evidence of good faith to accompany its bid in the form of a certified or cashier's check in the amount of Fifteen Thousand Dollars ($15,000) drawn on an incorporated bank or trust company and payable to the order of the Issuer.  The good faith check of the successful bidder, if requested, will be retained uncashed by the Issuer until delivery of the Bonds and payment therefor, or will be cashed and forfeited to the Issuer as liquidated damages in event the bidder should fail to fulfill the terms of its bid.  The checks of the unsuccessful bidders will be returned to them immediately upon the rejection of their bids.  The right is reserved to reject any and all bids received.

 

A commitment has been obtained from the Louisiana Department of Environmental Quality ("DEQ"), pursuant to which DEQ will purchase the Bonds at par at a rate of interest not exceeding two per centum (2%) per annum, including an administrative fee, unless an equal or better bid is received from a bidder or bidders other than DEQ, within the terms herein specified.

 

The approving legal opinion of Foley & Judell, L.L.P., who have supervised the proceedings, the printed Bonds and the transcript of record as passed upon will be furnished to the successful bidder without cost to it.  Said transcript will contain the usual closing proofs, including a certificate that up to the time of delivery no litigation has been filed questioning the validity of the Bonds or the tax revenues necessary to pay the same.

FINANCIAL REPORT – TAMMY B. PHILLIPS, FINANCE DIRECTOR

The financial report covered in the presentation of the 2008-2009 Audit Finding Report by Postlewaite & Netterville.

 

PRESENTATION OF 2008-2009 AUDIT FINDINGS – MKE SCHEXNAYDER, CPA/POSTLEWAITE & NETTERVILLE (P&N)

Mr. Mike Schexnayder CPA with the accounting firm of Postlewaite & Netterville (P&N) presented the mayor and city council with an audit report on the status to the city’s operations for the accounting period of July 1, 2008 to June 30, 2009.  Mr. Schexnayder’s report also addressed deficiencies reported in the legislative auditor’s June 2009 report as well.  Overall P &N’s audit report showed that the City of St. Gabriel has made every effort to follow the recommendation of the legislative auditor to ensure that:  the mayor signs all checks and has authorized the co-signing of check in his absence by authorized representatives of the city; has established more controls in payroll by outsourcing many of the payroll processes; approves annual budget by ordinance; and has established a grant administration office to monitor all city grant activity.  Mr. Schexnayder reported that the city has policies and procedures in place and segregation of duties adequate to a city of its size.  The P&N report also indicated that the city has adequate controls.  Mayor Grace commended the staff their hard work and tremendous effort in the amount of work done in a short time to meet audit requirements.

 

CONSIDERATION OF A RESOLUTION AUTHORIZING THE MAYOR TO ACT ON BEHALF OF THE CITY OF ST. GABRIEL IN ALL MATTERS PERTAINING TO FP&C PROJECT NO. 50-MW6-09-01-TURN LANES ON HIGHWAY 30 (IBERVILLE) – MAYOR GRACE

            WHEREAS, on January 12, 2010, the island of Haiti did sustain massive destruction of life and property as a result of an earthquake;

            WHEREAS, the Mayor, City Council and citizens of St. Gabriel can empathize with the people of Haiti to a degree, with its experiences with destruction caused in our area by hurricanes;

            WHEREAS, it is the desire of no person to see another suffer in such a manner as the Haitian people are suffering with the aftermath of the destruction caused by the earthquake;

NOW, THEREFORE BE IT RESOLVED by the Mayor and City Council of St. Gabriel that all able citizens of St. Gabriel, by whatever means available to them, give monetary and non-monetary support to the people of Haiti;

THE ENERGY EFFICIENCY BLOCK GRANT (EECBG) APPLICATION

 

            WHEREAS, Louisiana Department of Natural Resources (DNR) will be managing the disbursement of Energy Efficiency and Conservation Block Grant (EECBG) funding allocated by the U.S. Department of Energy (DOE) according to the 2009 American Recovery and Reinvestment Act (ARRA).

            WHEREAS, the City of St. Gabriel is eligible to apply for grants for eligible energy efficiency projects

            WHEREAS, the city desires to take proactive energy conservation measures by ensuring reduction of fossil fuel emissions in a manner that is environmentally sustainable, reduce the total energy use of the eligible entities and improve energy efficiency in the building sector.

            WHEREAS, the city would like to submit an application for grant funding for eligible project activities in accordance with grant guidelines

            NOW, THEREFORE, BE IT RESOLVED by the city council for City of St. Gabriel convened in regular session that the city has the complete support of the city council and is authorized to apply for this grant.

CONSIDERATION OF A NOTICE OF INTENT TO AMEND THE FLOOD DAMAGE PREVENTION ORDINANCE TO INCLUDE PENALTIES FOR VIOLATIONS

At the request of the Mr. Randall Johnson of the City of St. Gabriel’s Code Enforcement Office, the City of St. Gabriel will advertise for a public hearing on February 18, 2010, to hear any objections to amending Chapter 30 – Floods of the City of St. Gabriel’s Code of Ordinances to include penalties and violations.

 

CONSIDERATION OF A GRANT ADMINISTRATION POLICIES AND PROCEEDURES

Mayor Grace explained the purpose for development of a policy that the city will follow locally concerning grants it receives in addition to the federal and state requirements for grant administration.  The mayor asked that the council review and consider approval at the next city council meeting.

 

ST.  GABRIEL POLICE DEPARTMENT

Chief Ambeau requested that the city council approve a purchase of a new police unit as the unit driven by Officer Ausbon was totaled in a vehicle accident.  On a motion offered by Councilman Johnson and seconded by Councilwoman Alexander, Chief Ambeau is given approval to purchase a replacement vehicle for the unit lost as a result of a wreck.

Chief Ambeau reported that he has three officers in the academy and has hired part-time officers to augment his staff while the officers are in training.

 

MAYOR’S REPORT:

 PRESENTATION OF NEW BUSINESS VENTURES IN ST. GABRIEL

A.     FOREIGN ECONOMIC TRADE ZONE

 

Mayor Grace reported that he had meet with the Mayor Kip Holden of Baton Rouge and a group of Chinese businessmen to discuss location of a foreign economic trade zone in St. Gabriel.  Mayor Grace reported that the city has some choice real estate that would be conducive to the type of locations the Chinese businessmen are considering to establish new business ventures on.

 

B.     DEVELOPMENT OF LAND ON LA. HWY. 30

 

Mayor Grace introduced Mr. Tevester Scott who introduced the members of Reliable-Gaubert Joint Venture Group.  Mr. Scott explained that Reliable-Gaubert is interested in developing a grocery store, restaurant, casino, and gas station on LA. Hwy. 30.  Mayor Grace also reported that another company had been in contact with City Attorney Phil Canova on developing a similar operation.  Mayor Grace charged City Attorney Phil Canova with beginning the Planning and Zoning process to have interested parties present their business development ideas to the Planning and Zoning Committee.

 

COUNCIL MEMBER REPORTS:

Councilwoman Alexander – Wished a happy New Year to all and requested that the city participate in the local Mardi Gras Parade on Sunday, February 14, 2010.

Councilwoman Danielfield – No report.

Councilman Frazier – No report.

Councilman Hasten – Inquired about the road overlay improvement project.

Councilman Johnson – Reported that he information on a grant to hire new fire fighters and commended Public Works Director Atkins Williams on the renovation of the council meeting room at city hall.

NOTICE IS HEREBY GIVEN that the Mayor and Selectmen (the AGoverning Authority@) of the City of Plaquemine, State of Louisiana (the AIssuer@), acting as the governing authority of the Issuer, will receive sealed bids or electronic bids at the City Hall, Plaquemine, Louisiana, until six thirty (6:30) o'clock p.m., Louisiana Time, Central Time, on Tuesday, March 23, _2010, (or such other date as may be determined by the Mayor) for the purchase of One Million Five Hundred Thousand Dollars ($1,500,000) of Sales Tax Bonds, Series 2010 (the "Bonds") of the Issuer, autho_rized for the purpose of constructing and acquiring capital improvements for the sewer collection and treatment system for the Issuer, pursuant to Sub-Part F, Part III, Chapter 4 of Title 39 of the Louisi_ana Revised Stat_utes of 1950, as amended, and other constitutional and statutory authority.  The Bonds may be issued in one or more series as taxable or tax-exempt bonds and shall be payable solely from and secured by, equally in all respects with the Issuer=s outstanding Sales Tax Bonds, Series 2008 (the AOutstanding Parity Bonds@), by an irrevocable pledge and dedication of (i) the Issuer=s portion (currently 23.1441%) of the net avails or proceeds of the special two-thirds of one percent (2/3%) sales and use tax being levied and collected by the Parish of Iberville, State of Louisiana (the AParish@), pursuant to an election held in the Parish on July 13, 1991 (the A1991 Election@ and the A1991 Tax@), (ii) the Issuer=s portion (currently 23.6507%) of the net avails or proceeds of the special one percent (1%) sales and use tax being levied and collected by the Parish pursuant to an election held in the Parish on July 16, 2005 (the A2005 Election@ and the A2005 Tax@) and (iii) the Issuer=s portion (currently 23.6507%) of the net avails or proceeds of the special one percent (1%) sales and use tax being levied and collected by the Parish pursuant to an election held in the Parish on September 30, 2006 (the A2006 Election@ and the A2006 Tax@) (the 1991 Tax, 2005 Tax and 2006 Tax herein collectively referred to as the ATax,@ the Issuer=s portion of each of the 1991 Tax, 2005 Tax and 2006 Tax herein collectively referred to as the ANet Revenues of the Tax,@ and the 1991 Election, 2005 Election and 2006 Election herein collectively referred to as the AElections@), said Tax now being levied and collected by the Parish pursuant to Article VI, Section 29 of the Constitution of the State of Louisiana of 1974 and other constitutional and statutory authority, and in compliance with the Elections, subject only to the prior payment of the reasonable and necessary costs and expenses of collecting and administering the Tax.

 

The Bonds will be issued in the form of a single fully registered bond per series, will be dated the date of delivery thereof, will bear interest from date thereof, or the most recent interest payment date to which interest has been paid or duly provided for, at a rate or rates of interest not exceeding four per centum (4%) per annum (which includes any administrative fee which may be charged to the Issuer) and shall be in the denomination of $1,000 per principal installment within each such bond.  Interest on the Bonds shall be payable on June 1 and December 1 of each year, commencing June 1, 2010, and the principal shall be payable in twenty (20) annual installments with the first payment to fall due on or before December 1, 2013.

 

 

 

The Governing Authority anticipates that it may designate some or all of the Bonds as ABuild America Bonds (Direct Payment)@ pursuant to Section 54AA of the Internal Revenue Code of 1986, as amended (the ACode@).  In such event, interest on the Bonds shall not be excluded from gross income for federal income tax purposes and the Issuer will irrevocably elect to designate all of the eligible Bonds as ABuild America Bonds@ under Section 54AA of the Code and specifically as Aqualified bonds@ within the meaning of Section 54AA(g) of the Code.

 

The installments of principal of the Bonds are subject to prepayment at the option of the Issuer at any time, in whole or in part, at a prepayment price of par plus accrued interest and accrued administrative fee, if any.

 

The Mayor of the Issuer may request from any bidder evidence of good faith to accompany its bid in the form of a certified or cashier's check in the amount of Fifteen Thousand Dollars ($15,000) drawn on an incorporated bank or trust company and payable to the order of the Issuer.  The good faith check of the successful bidder, if requested, will be retained uncashed by the Issuer until delivery of the Bonds and payment therefor, or will be cashed and forfeited to the Issuer as liquidated damages in event the bidder should fail to fulfill the terms of its bid.  The checks of the unsuccessful bidders will be returned to them immediately upon the rejection of their bids.  The right is reserved to reject any and all bids received.

 

A commitment has been obtained from the Louisiana Department of Environmental Quality ("DEQ"), pursuant to which DEQ will purchase the Bonds at par at a rate of interest not exceeding two per centum (2%) per annum, including an administrative fee, unless an equal or better bid is received from a bidder or bidders other than DEQ, within the terms herein specified.

 

The approving legal opinion of Foley & Judell, L.L.P., who have supervised the proceedings, the printed Bonds and the transcript of record as passed upon will be furnished to the successful bidder without cost to it.  Said transcript will contain the usual closing proofs, including a certificate that up to the time of delivery no litigation has been filed questioning the validity of the Bonds or the tax revenues necessary to pay the same.
